ReFlex Terms & Conditions
1. Overview
These Terms and Conditions ("Terms") govern the purchase of the Bad Elf ReFlex hardware kit ("Hardware") and the associated subscription service ("Service") provided by Bad Elf LLC ("Company," "we," "us"). By purchasing the Hardware and/or subscribing to the Service, you ("Customer," "you") agree to be bound by these Terms.
2. Purchase of Hardware

Price: The Hardware is sold at a one-time purchase price.

Ownership: Title to the Hardware transfers to you upon full payment of the purchase price, subject to compliance with these Terms.

Delivery: Hardware will be shipped to the address provided at point of purchase. Shipping options, costs, and estimated delivery times will be provided at checkout.

Condition: Hardware is sold new and warranted to be free from defects subject to Company's standard warranty terms, available here.
3. Subscription Service

Subscription Commitment: Purchase of the Hardware requires a 24-month subscription to the Service at $99.99 per month, automatically billed monthly to your designated payment method.

Service Description: The Service provides real-time kinematic (RTK) streaming correction services that enable the hardware to obtain centimeter level accuracy. The Service is subject to limitations that may be a function of geographic availability, satellite coverage, electromagnetic interference, interference from excessive foliage or buildings, usage caps, compatibility requirements, or reliance on internet connectivity.

Automatic Renewal: The subscription automatically renews on a month-to-month basis after the initial 24-month term, unless canceled in accordance with Section 5.

Payment: You authorize us to charge the $99.99 monthly fee to your provided payment method. You are responsible for maintaining valid payment information. Failure to process payment may result in Service suspension or termination.
4. 30-Day Return and Refund Policy

Eligibility: You may cancel your purchase and subscription within 30 days of Hardware delivery for a full refund, no questions asked, provided you:

Return the Hardware in its original condition (normal wear excepted) with all included components and packaging.

Contact Bad Elf at support@bad-elf.com to obtain an RMA to initiate the return process.

Return Process: You are responsible for return shipping costs unless the Hardware is defective. Refunds will be issued to the original payment method within 10 business days of receiving the returned Hardware.

Effect of Return: Upon a valid return, the subscription is canceled, and no further monthly payments or cancellation fees apply.
5. Cancellation After 30 Days

Cancellation Right: You may cancel the subscription at any time after the 30-day return period by contacting Bad Elf at support@bad-elf.com

Cancellation Fee: Upon cancellation after 30 days, you will be charged the lesser of:

A $299.99 cancellation fee; or
-
The sum of the remaining monthly payments for the 24-month term (e.g., $99.99 × remaining months).

Payment of Fee: The cancellation fee will be charged to your provided payment method within 10 business days of cancellation.

Hardware Retention: You retain ownership of the Hardware upon cancellation, subject to any outstanding payments for the Hardware purchase price (if applicable).
6. Service Limitations

Disclosed Limitations: The Service is subject to the following limitations, which you acknowledge:

Service requires a stable internet connection

Service may be unavailable in certain geographic locations that lack coverage

Service may be subject to network availability constraints

Service may be degraded by interference from structures or foliage that blocks satellite visibility

Service may be obstructed by electromagnetic interference

Changes to Service: We may modify, suspend, or discontinue parts of the Service at our discretion, with notice provided as required by law. Such changes may affect functionality but will not relieve you of the subscription commitment unless otherwise stated.
7. Customer Obligations

Use of Hardware and Service: You agree to use the Hardware and Service in compliance with these Terms, applicable laws, and any provided documentation. Unauthorized use (e.g., reverse engineering, tampering) may result in termination of Service and/or legal action.

Account Security: You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.

Payment Obligations: You are responsible for all fees and charges incurred under these Terms, including any taxes, tariffs, or duties.
8. Warranty and Liability

Hardware Warranty: The Hardware is warranted against defects in materials and workmanship for 1 year] from delivery. If defective, we will repair or replace the Hardware at our discretion, provided it has not been misused, modified, or damaged. This warranty is your sole remedy for Hardware defects. Service Warranty: The Service is provided "as is" with no warranties, except as required by law.

Limitation of Liability: To the maximum extent permitted by law, Company is not liable for indirect, incidental, or consequential damages arising from the Hardware or Service, including loss of data, profits, or business opportunities. Our total liability shall not exceed the amount paid by you for the Hardware and Service.

Exclusions: No warranty applies to damage caused by improper use, accidents, or unauthorized modifications.
9. Termination

By Company: We may terminate your subscription and Service access for:

Non-payment of fees.

Breach of these Terms (e.g., unauthorized use of Hardware/Service).

Legal or regulatory requirements.

Effect of Termination: Upon termination, you remain liable for any outstanding fees, including cancellation fees under Section 5. Service access will cease, but you retain Hardware ownership (subject to any unpaid purchase price).
10. General Provisions

Governing Law: These Terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles.

Force Majeure: We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, network outages, war, terrorism).

Amendments: We may update these Terms at any time. Changes will be communicated via email or website posting and apply to continued use of the Hardware/Service.

Entire Agreement: These Terms constitute the entire agreement between you and Company regarding the Hardware and Service, superseding any prior agreements.
